Governance at ICD Group

Governance

Strong governance is fundamental to ICD Group's success and underpins the trust placed in us by our members, recognised suppliers, and industry partners.

Since 1989, ICD has provided a framework through which independent agricultural and horticultural merchants can collaborate, strengthen supplier relationships, share knowledge, and create value, while maintaining their individual ownership, identity, and commercial independence.

Governance Framework

ICD Group operates under two key governance documents:

  • Constitution - Establishes the governance framework of the company, including shareholder rights, Board responsibilities, and company administration.
  • Deed of Association - Defines the principles, obligations, and commitments that underpin membership and support the collaborative culture of the Group.

Together, these documents provide the structure that enables independent businesses to work collectively while preserving their autonomy.

Board and Management

ICD Group is governed by a Board comprising a Chairman and three Directors, all currently drawn from member businesses. The Board is responsible for strategic direction, governance oversight, risk management, and ensuring the long-term success of the organisation.

The Board appoints a Chief Executive Officer to manage the day-to-day operations of the company. The CEO also serves as Company Secretary, supporting governance administration and Board processes.

Independent Businesses. Shared Purpose.

ICD exists to create value through collaboration.

The Group facilitates supplier partnerships, knowledge sharing, member engagement, business initiatives, and international connections that strengthen the capability and performance of member businesses.

While members collaborate through ICD, each business remains independently owned and operated, retaining responsibility for its own customers, pricing, margins, business strategy, and commercial decisions.

Compliance and Responsible Conduct

ICD Group is committed to operating with integrity, transparency, and respect for both the letter and spirit of New Zealand law.

The organisation's activities are structured around collective supplier engagement and the negotiation of upstream supply arrangements on behalf of members. Individual members remain independent competitors and continue to make all downstream commercial decisions independently.

The Board and management recognise the importance of competition law compliance and actively promote appropriate governance, conduct, and decision-making processes across all Group activities.

Our Governance Principles

ICD's governance approach is guided by six core principles:

  • Integrity - Acting honestly and ethically in all dealings.
  • Accountability - Maintaining clear responsibilities and transparent decision-making.
  • Collaboration - Creating value through constructive engagement between members and suppliers.
  • Stewardship - Protecting and strengthening the organisation for future generations.
  • Compliance - Operating within applicable laws and regulatory requirements.
  • Continuous Improvement - Supporting innovation, learning, and long-term sustainability.

For more than 35 years, strong governance, engaged membership, and strategic supplier partnerships have enabled ICD Group to support New Zealand's leading independent agricultural and horticultural merchants.
